1. ACCEPTANCE OF TERMS
By accessing thestrategyninjas.com, purchasing any product, or using any Strategy Ninjas service—including AI Agents, courses, coaching, consulting, memberships, templates, or downloadable resources (collectively, the “Services”)—you (“User” or “you”) agree to be bound by these Terms & Conditions, our Privacy Policy, and any additional terms referenced herein (together, the “Terms”). If you do not agree, do not use the Services.
2. DEFINITIONS
“AI Agents.” Digital software personas (chat, voice, or automation) delivered via platforms such as ChatGPT Plus, Microsoft Copilot, or other third-party LLM interfaces.
“Content.” All text, graphics, videos, templates, prompts, downloads, and documentation we publish or deliver.
“Level 1 / Level 2 / Level 3.” Tiers of AI Agents that provide progressively deeper integrations and autonomy, as described on our sales pages.
3. INTELLECTUAL PROPERTY
All Content—including the Nexus PaaS™ Agent Framework, NexusGraph™ Formula, and all Strategy Ninjas trademarks—is the exclusive property of AMR Ventures, LLC or its licensors, protected by U.S. and international copyright, trademark, and other laws. You receive a revocable, non-exclusive, non-transferable license to use the Content for your internal business only. No other rights are granted.
4. PERMITTED USE & PROHIBITED CONDUCT
You agree to:
Keep logins, access tokens, and API keys secure and confidential.
Use the Services solely for lawful, commercial real-estate purposes.
Review and verify all AI-generated outputs before use or publication.
Comply with all U.S. federal, state, and local statutes, Fair Housing laws, real-estate commission rules, MLS policies, data-privacy laws (e.g., GDPR, CCPA), and your brokerage’s guidelines.
You may not:
Reverse-engineer, decompile, copy, resell, sublicense, or distribute the Services or Content.
Upload or transmit malicious code, spam, or unlawful content.
Circumvent or exceed usage limits in a manner that degrades performance for others.
Interfere with, damage, or gain unauthorized access to our systems or networks.
Violation may result in immediate termination of access without refund.
5. EDUCATIONAL & INFORMATIONAL DISCLAIMER
All Content—including AI-generated materials—is provided for educational and informational purposes only and does not constitute legal, financial, tax, brokerage, or professional advice. Consult qualified professionals regarding your specific circumstances.
6. AI & AUTOMATION DISCLAIMER (NO GUARANTEES)
Our AI Agents rely on large-language-model technology supplied by third parties (e.g., OpenAI). While we refine prompts and update agents regularly, we do not guarantee that any output will be error-free, current, complete, or fit for a particular purpose. AI outputs are suggestions; you are solely responsible for validating accuracy, legality, and compliance before relying on them.
7. REAL-ESTATE COMPLIANCE RESPONSIBILITY
Strategy Ninjas is not a licensed real-estate brokerage, law firm, or accounting practice. You bear full responsibility for ensuring that any marketing copy, contract language, disclosures, advice, or other materials created with our Services comply with:
Federal and state real-estate statutes and regulations
MLS and REALTOR® association rules
Fair Housing and anti-discrimination laws
Advertising and consumer-protection laws
Always seek advice from a licensed broker or attorney when required.
8. THIRD-PARTY LINKS & INTEGRATIONS
The Services may integrate with or link to third-party platforms (e.g., Gmail, Go High Level, QuickBooks, OpenAI, Microsoft, Anthropic). Strategy Ninjas is not responsible for the availability, security, or accuracy of third-party content, nor for outages, data loss, or policy changes originating from those providers. Use third-party resources at your own risk.
9. PAYMENTS, RENEWALS & CANCELLATION
All prices are in U.S. Dollars (USD) and are billed via Stripe or a comparable PCI-compliant processor.
Subscriptions renew automatically each billing cycle until cancelled.
All sales are final; we do not provide refunds.
You may cancel future renewals at any time by e-mailing [email protected] at least three (3) business days before your next billing date. Access continues through the paid term and then terminates.
Chargebacks or payment disputes may result in immediate suspension of Services.
10. NO WARRANTIES
THE SERVICES AND CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND—EXPRESS, IMPLIED, OR STATUTORY—INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR ACCURACY. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.
11. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, STRATEGY NINJAS (AMR VENTURES, LLC), ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES—INCLUDING LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES—ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY. OUR AGGREGATE LIABILITY FOR ANY CLAIM IN ANY 12-MONTH PERIOD SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THAT SAME PERIOD.
12. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless Strategy Ninjas, its owners, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:
Your use or misuse of the Services
Your violation of these Terms
Your breach of any real-estate, advertising, or data-privacy laws
Your infringement of any third-party rights
13. NO PROFESSIONAL RELATIONSHIP
Your use of the Services does not create an attorney-client, broker-client, fiduciary, or other professional relationship between you and Strategy Ninjas.
14. PRIVACY & DATA SECURITY
We collect and process personal data per our Privacy Policy. We maintain industry-standard technical and organizational safeguards but cannot guarantee absolute security. You acknowledge that internet transmissions are never completely private or secure.
15. MODIFICATIONS
We may update these Terms at any time. When changes are made, the “Effective Date” will be updated. Continued use of the Services after posting constitutes acceptance of the revised Terms.
16. GOVERNING LAW & VENUE
These Terms are governed by the laws of the State of Arizona, USA, without regard to conflict-of-law principles. Exclusive venue for any dispute lies in the state or federal courts located in Maricopa County, Arizona, and you consent to personal jurisdiction there.
17. SEVERABILITY
If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect.
18. ENTIRE AGREEMENT
These Terms, together with any order form, invoice, or additional policy referenced herein, constitute the entire agreement between you and AMR Ventures, LLC regarding the Services and supersede all prior or contemporaneous agreements, communications, and proposals.
